Welcome to LaDevina.com ("LaDevina," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you and LaDevina regarding your use of our spiritual advisory services platform and website located at LaDevina.com (the "Platform"). LaDevina operates as a digital marketplace that connects spiritual advisors and psychics ("Advisors") with clients seeking spiritual guidance and psychic services ("Clients").

BY CREATING AN ACCOUNT, ACCESSING, OR USING THE PLATFORM, YOU EXPRESSLY AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES REFERENCED HEREIN. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MUST NOT USE THE PLATFORM.

1. Platform Overview and Services

LaDevina operates as an intermediary platform that facilitates connections between spiritual advisors and clients seeking psychic and spiritual guidance services. Our Platform provides various tools and services including but not limited to payment processing through Stripe, scheduling systems, real-time communication tools for text messaging, audio calls, video calls, and live-streaming services, user authentication through Stytch and Google Auth, SMS notifications via Twilio, and comprehensive analytics through Google Analytics. The Platform is hosted on DigitalOcean infrastructure and utilizes Cloudflare for security and performance optimization, with data storage managed through MongoDB systems.

We do not provide spiritual advisory services directly but serve solely as a facilitator and payment processor for transactions between independent Advisors and Clients. All spiritual guidance, readings, and advisory services are provided by independent contractors who maintain their own professional practices and are solely responsible for the content and quality of their services.

2. Eligibility and Account Creation

To use the Platform, you must be at least eighteen (18) years of age and possess the legal capacity to enter into binding contractual agreements. You are required to provide accurate, complete, and current information during the account registration process and maintain the accuracy of such information throughout your use of the Platform.

Each user is permitted to maintain only one active account on the Platform. Creating multiple accounts, using false identities, or allowing others to use your account credentials is strictly prohibited and will result in immediate account termination. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether authorized by you or not.

All Advisor applications are subject to our discretionary review and approval process. We reserve the absolute right to deny any application for Platform participation for any reason or no reason, without providing explanation or justification for such denial.

3. Commission Structure and Financial Terms

Commission

LaDevina retains a thirty percent (30%) commission on all gross earnings from private sessions, scheduled appointments, and subscription services. LaDevina retains a thirty percent (30%) commission on all gross earnings from live-streaming services and associated tips. Advisors receive seventy percent (70%) of payments from private sessions and eighty percent (70%) of payments from live-streaming activities, including payment processing fees and excluding applicable taxes.

Billing and Payment Processing

All private session services are billed on a per-minute basis at rates established by individual Advisors. The first 2 minutes of any private session is provided complimentary and is never charged to the Client. Billing commences at the beginning of the third minute and continues until the session is terminated by either party. Billing ceases immediately upon call termination, regardless of the reason for disconnection. The amount of minutes will be rounded up to the nearest whole minute at the end of a session.

Live-streaming services operate on a tip-based model where viewers may send voluntary tips during broadcasts. Live-streaming sessions are not billed on a per-minute basis unless specifically arranged as private sessions within the live-stream environment.

Advisors have the ability to pause and resume timing during video and audio calls to accommodate technical issues or brief interruptions. However, any manipulation of timing systems for fraudulent purposes will result in immediate account suspension and forfeiture of earnings.

Payments for Platform services can be made through direct credit or debit card processing via Stripe or through LaDevina credits purchased separately. All payment processing is handled through Stripe, and both LaDevina and Stripe reserve the right to hold, freeze, or delay payments for verification, fraud prevention, or dispute resolution purposes.

Payout Schedule and Processing

Advisor payouts are processed weekly through Stripe's payment system, typically within seven (7) business days of the end of each billing cycle. LaDevina reserves the right to modify payout schedules with reasonable notice to Advisors. All earnings are subject to applicable federal, state, and local taxes, which are the sole responsibility of the receiving party.

We reserve the right to freeze or withhold earnings at any time if we suspect fraudulent activity, policy violations, or if required by law or by our payment processing partners. Frozen earnings will be released only after successful resolution of any investigations or disputes.

Tax Responsibilities

Advisors are solely responsible for reporting all income earned through the Platform to appropriate tax authorities and paying all applicable taxes. LaDevina will provide necessary tax documentation (such as 1099 forms for US-based Advisors earning over $600 annually) but does not provide tax advice or guarantee the accuracy of tax documents. Advisors should consult qualified tax professionals for guidance on their specific tax obligations.

International Advisors are responsible for understanding and complying with tax obligations in their respective jurisdictions. LaDevina does not withhold taxes on behalf of Advisors unless required by law.

4. Subscription Services and Recurring Billing

Advisors may offer subscription-based services to Clients for ongoing spiritual guidance and support. When offering subscription services, Advisors are responsible for fulfilling these commitments to the best of their ability and maintaining consistent availability as advertised. However, LaDevina cannot and does not guarantee the availability, quality, or continuity of subscription services provided by independent Advisors.

Subscription payments can be processed through LaDevina credits or direct payment methods linked to Client accounts. Subscription renewals are automatic unless cancelled by the Client before the next billing cycle. Clients may cancel subscriptions at any time, which will prevent future renewals but will not result in refunds for the current billing period unless required by applicable law.

5. Live-Streaming Services

Live-Stream Operations

Advisors may broadcast live-streaming content to multiple viewers simultaneously through the Platform's live-streaming features. Live-streams are intended for spiritual guidance, educational content, and community interaction. All live-stream content must comply with Platform community guidelines and maintain professional standards appropriate for spiritual advisory services.

Live-Stream Tips and Actions

Tips received during live-streaming sessions are final and non-refundable under any circumstances. When Advisors accept tips in exchange for specific actions, readings, or responses during live-streams, they are obligated to fulfill these commitments within a reasonable timeframe during the broadcast or in subsequent streams if technical issues prevent immediate completion.

Advisors may not accept tips for actions in their action offers they cannot or will not perform. Failure to complete promised actions after receiving tips may result in account penalties, earnings holds, or termination. Viewers should understand that tips are voluntary contributions and do not guarantee specific outcomes or extended personal attention.

Live-Stream Content Guidelines

Live-stream content must remain focused on spiritual advisory services and maintain appropriate professional boundaries. Advisors are prohibited from engaging in inappropriate conduct, sharing personal contact information, or directing viewers to external platforms during live broadcasts. All live-stream sessions are subject to recording and monitoring by LaDevina for quality assurance and policy compliance.

Viewers participating in live-streams must maintain respectful behavior and comply with community guidelines. Inappropriate comments, harassment, or disruptive behavior may result in removal from the live-stream and potential account restrictions.

6. Referral Programs and Affiliate Marketing

Client Referral Program

Clients who refer other clients to the Platform receive five percent (5%) of their referred friends' total spending during the first year of Platform usage (calculated after payment processing fees).

Advisor Referral Program

Advisors who successfully refer new spiritual advisors to the Platform earn five percent (5%) of the referred Advisor's total earnings (calculated after payment processing fees) for the first year following the referred Advisor's activation. To qualify, referred Advisors must complete the registration process, pass all verification requirements, and begin actively providing services through the Platform.

Referral Tracking and Attribution

Referral attribution is determined by cookie-based tracking systems. When a potential user clicks a referral link, a tracking cookie is stored in their browser. The first referral link clicked takes precedence over all subsequent referral links, ensuring proper attribution to the original referring party.

Referral bonuses are paid monthly alongside regular commission payments. Self-referrals, fraudulent referrals, or attempts to manipulate the referral system will result in immediate account termination and forfeiture of all pending earnings. LaDevina reserves the right to modify referral program terms with thirty (30) days advance notice to all participants.

7. Account Responsibilities and Professional Standards

Universal User Obligations

All Platform users must maintain professional conduct and treat other users with respect and courtesy. Users are responsible for ensuring their devices have functioning microphones, cameras, and audio systems necessary for Platform services. Technical difficulties on the user's end do not entitle them to refunds or credits unless explicitly approved by LaDevina support.

For optimal Platform performance, users are encouraged to add LaDevina to their device's home screen as a Progressive Web App (PWA). While the Platform is designed to function in standard web browsers, PWA installation provides enhanced reliability and user experience.

AI and Account Management Restrictions

Advisors are strictly prohibited from using artificial intelligence, automated systems, chatbots, or any form of AI assistance in providing spiritual advisory services, responding to clients, or managing their Platform accounts. All communications, readings, and spiritual guidance must be provided personally by the registered Advisor without technological augmentation.

Advisors may not delegate account management, client communications, or service provision to third parties, employees, assistants, or other individuals. Each Advisor account must be personally managed and operated exclusively by the registered account holder. Sharing account access, allowing others to respond to clients, or providing services through representatives is strictly prohibited and will result in immediate account termination.

LaDevina reserves the right to monitor communications and service patterns to detect potential AI usage or unauthorized account access. Suspicious activity will be investigated, and violations will result in permanent account termination and forfeiture of all earnings.

Advisor-Specific Responsibilities

Advisors must provide services in good faith and to the best of their professional ability while maintaining appropriate boundaries and ethical standards. Advisors are prohibited from providing legal, medical, financial, or other advice that requires professional licensing in any jurisdiction. Pregnancy-related advice or predictions are specifically classified as medical advice and are strictly prohibited.

Advisors must honor scheduled appointments and arrive promptly for all confirmed sessions. Repeated failure to attend scheduled meetings may result in account suspension, earnings freeze, or permanent account termination. When setting service rates, Advisors should note that rate changes do not apply to previously scheduled sessions, which will be billed at the rate in effect when the appointment was booked.

Advisors must maintain professional communication standards and are prohibited from using profanity, engaging in abusive behavior, or directing hostility toward Clients or other Advisors. Excessive messaging, spam, or hostile responses to Client reviews are strictly prohibited and may result in immediate account suspension.

Advisors are expressly prohibited from directing Clients to external platforms, requesting payments outside the LaDevina system, or attempting to bypass Platform billing procedures. All financial transactions related to services provided through LaDevina must be processed through our designated payment systems.

When creating service listings and profiles, Advisors should focus exclusively on their spiritual talents, experiences, and qualifications. Listings should not be used to vent about Clients, provide feedback about Platform operations, or discuss unrelated matters. Advisors are prohibited from bribing Clients for positive reviews, retaliating against negative reviews, using fake accounts to manipulate ratings, or disconnecting from sessions to avoid receiving feedback.

Privacy and Confidentiality Standards

Advisors must maintain strict confidentiality regarding all client information, personal details, and session content. Sharing, discussing, or revealing any private information about clients outside of the Platform environment is strictly prohibited. This includes but is not limited to sharing client details on social media, with other advisors, or in live-streaming sessions.

Advisors may not reference specific clients, use client information as examples, or discuss client situations in any public forum, including during live-streaming sessions. Violations of client privacy will result in immediate account termination and potential legal action.

Client-Specific Responsibilities

Clients must use Platform services for personal spiritual guidance purposes only and treat Advisors with respect and professionalism throughout all interactions. Clients are expected to attend scheduled appointments promptly and may face account restrictions if they regularly fail to appear for confirmed sessions.

Clients should not confide extremely sensitive personal information, legal secrets, or confidential business matters to Advisors, as LaDevina cannot guarantee the confidentiality of such information beyond our standard privacy protections. All payments must be made through authorized Platform payment methods, and attempts to pay Advisors directly are prohibited.

8. Tips, Credits, and Refund Policy

Clients may offer voluntary tips to Advisors through the Platform's integrated tipping system, including during live-streaming sessions. Tips are considered final transactions that cannot be refunded under any circumstances, regardless of the service type or delivery method. Advisors may request tips for specific services or guidance, but Clients should not expect additional services solely based on tip payments, as tips are voluntary expressions of appreciation rather than service fees.

LaDevina credits purchased or earned through referral programs cannot be refunded for cash under any circumstances. In exceptional situations involving technical issues or service failures, LaDevina may, at its sole discretion, issue replacement credits on a case-by-case basis. Such credit replacements are not guaranteed and depend on individual circumstances and our investigation findings.

9. Content, Recording, and Intellectual Property

Platform Content and Ownership

LaDevina retains all intellectual property rights to Platform design, functionality, proprietary algorithms, and branded content. Users may not copy, modify, distribute, or create derivative works from Platform materials without explicit written permission. Any unauthorized use of Platform content may result in legal action and immediate account termination.

User-Generated Content

Users retain ownership of original content they create and upload to the Platform, including profile information, service descriptions, and communication messages. However, by using the Platform, users grant LaDevina a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for Platform operations, marketing purposes, and service improvement.

Users are solely responsible for ensuring they have the right to upload and share any content posted to the Platform. Content that violates these Terms, applicable laws, or third-party rights may be removed at LaDevina's discretion without notice.

Session Recording and Privacy

LaDevina may record audio, video, and live-streaming sessions for quality assurance, dispute resolution, and Platform improvement purposes. By using the Platform's communication services, both Advisors and Clients consent to potential recording by LaDevina systems.

Clients are permitted to record their own private sessions for personal use and may be able to download such recordings after session completion, though technical functionality cannot be guaranteed. However, Advisors are strictly prohibited from recording any audio, video, or live-stream content from Platform sessions without explicit written consent from all participants and LaDevina management.

Both parties acknowledge and consent that the other party may choose to record sessions for personal use. Such recordings should be used responsibly and not shared publicly without consent from all participants. Live-streaming sessions are inherently public within the Platform environment and may be viewed by multiple users simultaneously.

10. Communication Standards and Prohibited Activities

Communication Guidelines

All Platform communications must remain professional, respectful, and relevant to spiritual advisory services. Users are prohibited from using the Platform's messaging systems for spam, harassment, or communications unrelated to spiritual guidance services.

Staff members and customer service representatives must be treated with courtesy and respect in all interactions. Abusive behavior toward LaDevina staff may result in immediate account termination regardless of account standing or earnings.

Strictly Prohibited Activities

The following activities are expressly prohibited and may result in immediate account termination without warning:

Users may not engage in any illegal activities, fraud, or misrepresentation of services or qualifications. Creating fake accounts, sharing login credentials, or impersonating other users is strictly forbidden. Any attempts to circumvent Platform payment systems, engage in unauthorized financial transactions, or manipulate billing procedures will result in permanent account termination and potential legal action.

Harassment, abuse, threats, or discriminatory behavior toward any Platform user is absolutely prohibited. This includes but is not limited to hate speech, stalking, doxxing, or any form of intimidation. Users may not solicit or share personal contact information with the intent to conduct business outside the Platform.

Automated systems, bots, or scripts may not be used to access Platform services or manipulate Platform functionality. Any attempts to reverse engineer, hack, or compromise Platform security will result in immediate termination and potential legal prosecution.

Spam activities, unsolicited promotional materials, and excessive messaging that disrupts other users' Platform experience are strictly prohibited. Users may not distribute malware, viruses, or other harmful software through Platform communications.

11. Technical Operations and Service Availability

Platform Reliability and Maintenance

LaDevina strives to maintain consistent Platform availability but does not guarantee uninterrupted service. Scheduled maintenance, technical upgrades, and unexpected outages may temporarily limit Platform functionality. We reserve the right to modify, suspend, or discontinue Platform features at any time with reasonable notice to users when possible.

Connection interruptions during sessions may occur due to internet connectivity issues, technical problems, or Platform maintenance. Such interruptions do not entitle users to refunds, though billing will cease immediately upon disconnection. Users experiencing frequent technical difficulties should contact customer support for assistance.

System Requirements and Compatibility

Users are responsible for maintaining compatible devices, current web browsers, and reliable internet connections necessary for Platform functionality. While LaDevina provides technical support for Platform-related issues, we cannot troubleshoot individual user device problems or internet connectivity issues.

12. Reviews and Feedback Systems

LaDevina maintains review and rating systems to help Clients make informed decisions about Advisor services. All reviews should be honest, relevant, and based on actual service experiences. Fake reviews, review manipulation, or attempts to artificially inflate ratings are prohibited and will result in review removal and potential account penalties.

LaDevina reserves the right to remove, edit, or moderate reviews at our sole discretion, particularly when reviews contain inappropriate content, personal attacks, confidential information, or violations of Platform policies. The decision to remove reviews is final and not subject to appeal.

Advisors may not retaliate against Clients for negative reviews through reduced service quality, harassment, or other punitive measures. Similarly, Advisors should not solicit specific review content or offer incentives for positive reviews beyond providing excellent service.

13. Account Termination and Suspension

LaDevina reserves the absolute right to suspend, freeze, or permanently terminate user accounts at any time, for any reason or no reason, without prior notice or explanation. This includes but is not limited to policy violations, suspected fraudulent activity, chargebacks, disputes, extended inactivity, or business operational decisions.

Upon account termination, user access to the Platform ceases immediately. Outstanding payments owed to terminated Advisors will be processed according to our standard procedures, subject to any holds or disputes. Terminated users remain liable for any unpaid fees, chargebacks, or outstanding obligations to LaDevina.

Users may voluntarily terminate their accounts at any time by contacting customer support through our website widget. Voluntary account closure does not automatically result in refunds of unused credits or subscription fees unless required by applicable law.

14. Disclaimers and Limitation of Liability

Service Disclaimers

SPIRITUAL ADVISORY SERVICES PROVIDED THROUGH THE PLATFORM ARE FOR ENTERTAINMENT, PERSONAL GUIDANCE, AND SPIRITUAL EXPLORATION PURPOSES ONLY. LaDevina makes no warranties, representations, or guarantees regarding the accuracy, reliability, or effectiveness of any readings, predictions, or spiritual guidance provided by Advisors.

PLATFORM SERVICES SHOULD NOT BE USED AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL, LEGAL, FINANCIAL, OR PSYCHOLOGICAL ADVICE. Users seeking such professional services should consult appropriately licensed practitioners in their jurisdiction.

RESULTS FROM SPIRITUAL ADVISORY SERVICES ARE NOT GUARANTEED AND INDIVIDUAL EXPERIENCES MAY VARY SIGNIFICANTLY. LaDevina does not endorse, verify, or take responsibility for the content, accuracy, or outcomes of services provided by independent Advisors.

Platform Availability Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. LaDevina disclaims all warranties including but not limited to merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LADEVINA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO PLATFORM USE IS LIMITED TO THE AMOUNT PAID BY THE USER FOR SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, NOT TO EXCEED TWO HUNDRED DOLLARS ($200).

LADEVINA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

LADEVINA IS NOT RESPONSIBLE FOR THE CONDUCT, ACTIONS, OR OMISSIONS OF ADVISORS OR THE QUALITY, ACCURACY, OR OUTCOMES OF INDIVIDUAL SESSIONS. Users engage with Advisors at their own risk and discretion.

15. Indemnification

Users agree to defend, indemnify, and hold harmless LaDevina, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or relating to:

User's access to or use of the Platform; violation of these Terms or applicable laws; infringement of third-party intellectual property or other rights; content provided, uploaded, or transmitted through the Platform; interactions with other Platform users; and any negligent or wrongful conduct by the user.

This indemnification obligation survives termination of these Terms and continues indefinitely.

16. Dispute Resolution and Governing Law

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Maine, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Maine, and users consent to the personal jurisdiction of such courts.

Arbitration Agreement

BY AGREEING TO THESE TERMS, USERS AGREE THAT MOST DISPUTES WILL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. Arbitration is more informal than a lawsuit in court and uses a neutral arbitrator instead of a judge or jury. Arbitration is final and binding and subject to only very limited review by a court.

USERS WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION. This arbitration agreement is governed by the Federal Arbitration Act and will be administered by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration Rules.

Exceptions to Arbitration

The following disputes are not subject to arbitration: disputes seeking injunctive or equitable relief; intellectual property disputes; disputes filed in small claims court within jurisdictional limits; and disputes related to the validity or enforcement of the arbitration agreement itself.

17. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between users and LaDevina regarding Platform use and supersede all prior or contemporaneous understandings, agreements, representations, or warranties.

Modification of Terms

LaDevina reserves the right to update, modify, or replace these Terms at any time without prior notice. Material changes will be communicated through Platform notifications or email when possible. Continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision will be severed from these Terms, and the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

Assignment

Users may not assign, transfer, or delegate these Terms or their rights and obligations hereunder without LaDevina's prior written consent. LaDevina may freely assign these Terms and all rights and obligations hereunder to any third party without restriction or notice.

Waiver

LaDevina's failure to enforce any provision of these Terms or to exercise any right hereunder shall not constitute a waiver of such provision or right. No waiver shall be effective unless in writing and signed by LaDevina.

Survival

Provisions that by their nature should survive termination of these Terms shall survive, including but not limited to intellectual property rights, disclaimers, limitation of liability, indemnification, and dispute resolution provisions.

Force Majeure

LaDevina shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

BY USING THE LADEVINA PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE IN THEIR ENTIRETY.
